Welcome to MemoriaLife Technologies. By accessing our website, booking a consultation, or purchasing any of our legacy preservation plans, you agree to be bound by these Terms and Conditions ("Terms"). Please read them carefully. If you do not agree to these Terms, you may not access or use our Services.

1. Definitions

• "Service" refers to the AI creation, voice cloning, 3D rendering, and hosting services provided by MemoriaLife.
• "User" or "Client" refers to the individual purchasing the service or the authorized representative of a subject.
• "Subject" refers to the individual whose digital persona is being created (may be the User or a third party/deceased individual).
• "Artifacts" refer to the voice samples, photos, videos, and biographical text uploaded by the User.

2. Description of Services

MemoriaLife provides advanced AI-driven legacy preservation services. These include:

• Basic Chatbot: Text-based AI trained on personal history.
• Voice Edition: Neural voice synthesis based on user-provided audio.
• 3D Persona & Real Presence: Visual avatars and projection hardware systems.

The Services are intended for personal, memorial, and celebratory use only. They are not intended to replace professional medical, legal, or psychological advice.

3. User Obligations & Eligibility

3.1 Age Requirement

You must be at least 18 years old to use our Services. By using MemoriaLife, you represent and warrant that you are of legal age to form a binding contract.

3.2 Rights to Data

You represent and warrant that you have the legal right to upload all Artifacts provided to us. Specifically:

• If creating a persona for yourself, you consent to the processing of your biometric data.
• If creating a persona for a third party (living), you must provide written, verifiable consent from that individual.
• If creating a persona for a deceased individual, you must prove you are the legal next-of-kin or executor of the estate with the authority to grant such rights.

MemoriaLife reserves the right to request documentation verifying these rights at any time and to terminate services without refund if such documentation is not provided.

4. Booking Fees, Payment & Pricing

4.1 Booking Fee

A non-refundable booking fee of ₹650 is required to initiate a consultation and secure a server slot. This fee covers administrative costs and initial data assessment.

4.2 Plan Pricing

Total plan costs (e.g., ₹25,000 for Basic, ₹1,00,000 for 3D Persona) are payable in milestones as defined in your specific Service Agreement.

4.3 Recurring vs. One-Time Fees

• Basic & Voice Editions: Subject to an annual hosting and maintenance fee (currently ₹799 and ₹1199 respectively) after the initial term expires.
• 3D Persona & Real Presence: These are one-time purchase fees. The software and hardware are delivered to the User for local execution, and no recurring cloud fees apply unless cloud backup services are separately purchased.

5. Cancellations & Refunds

5.1 Refund Policy

• Booking Fee: The ₹650 booking fee is strictly non-refundable.
• Service Fee: If you choose to cancel after full payment but before the final high-resolution rendering or voice model training is complete, you are eligible for a 50% refund of the plan price.
• Post-Delivery: Once the final AI model, software, or hardware has been delivered, no refunds are permitted due to the custom nature of the work.

5.2 Cancellation by MemoriaLife

We reserve the right to cancel services and refund any unspent service fees if the provided Artifacts are of insufficient quality to create a viable AI model, or if the content violates our ethical guidelines (e.g., hate speech, deepfake for malicious intent).

6. Intellectual Property & Data Rights

6.1 Your Ownership

You retain full ownership of all original Artifacts (photos, voice samples) you upload. You also own the specific output instance (the "Persona") created for you.

6.2 MemoriaLife License

By uploading content, you grant MemoriaLife a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and process your content solely for the purpose of providing the Service to you. We do not claim ownership of your digital legacy.

6.3 Platform IP

MemoriaLife retains all rights, title, and interest in the underlying AI models, algorithms, software, interface designs, and proprietary technology used to generate the Persona.

7. AI Behavior Disclaimer

The AI Persona is a simulation. It is generated based on probabilistic models derived from the data you provide.

• Accuracy: The AI may occasionally hallucinate (invent facts), misinterpret context, or respond in ways that do not perfectly reflect the Subject. MemoriaLife does not guarantee 100% historical or behavioral accuracy.
• Emotional Impact: Interactions with an AI Persona can be emotionally intense. Users engage with the Service at their own risk. MemoriaLife is not liable for any psychological distress caused by the realism (or lack thereof) of the simulation.

8. Limitation of Liability

To the maximum extent permitted by law, MemoriaLife shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, emotional distress, or loss of profits.

In no event shall MemoriaLife's aggregate liability for all claims exceed the total amount paid by you to MemoriaLife for the Service in the twelve (12) months preceding the claim.

9. Modifications to Service

We reserve the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. For hardware-based plans (Real Presence), we maintain the right to substitute components of equal or greater value based on supply chain availability.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Gurugram, Haryana.
